Dewey & LeBoeuf Advises Uranium Participation Corporation on International Takeover as a £430 Million Investment Company Takes Shape
(London, January 21, 2010) Canadian-based Uranium Participation Corporation (UPC) announced on January 11 a recommended all-share offer for Guernsey-based Uranium Limited. The target company is valued at around £85 million; the combined group will be worth £430 million. The offer signed has been made in accordance with the UK Takeover Code and will be effected by way of a scheme of arrangement pursuant to Guernsey Law. The London office of Dewey & LeBoeuf provided English and US advice to UPC.
The combined company is set to capture a dominant global position in the rarified world of Uranium trading – holding shares in companies such as UPC provides investors with investment exposure to the price of Uranium.
"This was a complex international transaction that we have been working on for several months," said Lynn McCaw, Dewey & LeBoeuf's lead M&A partner on the transaction. "Reaching this announcement is testament to the great teamwork between UPC and its advisers, including Guernsey lawyers Carey Olsen and ourselves. This firm's multinational team of advisers in the London office worked closely and successfully to bring off this deal, which is one of significance for the global exchange trading of interests in uranium."
London Partner Lynn McCaw led the Dewey & LeBoeuf team on this complex acquisition, assisted by London Associates Ellen Stanborough and Melanie James and Trainee Paul Whitfield-Jones. Competition advice was provided by London-based European head of EU and Competition, Peter Crowther, with London Associate Fabio Falconi. London Litigation Partners Francis Mackie and Peter Sharp also advised on the deal, while London-based Associate Patrick Lyons provided US law advice.
