Peter A. Baumgaertner's practice deals in the development and financing of various infrastructure projects, including energy, water, wastewater, and civic facilities and airports. Mr. Baumgaertner routinely represents and works with governmental units, project sponsors, public utilities, institutional investors, investment bankers, credit enhancement providers, commercial bankers, and corporate trustees in connection with the financing of public and private infrastructure projects. In addition, Mr. Baumgaertner works with clients on asset securitization matters and in connection with securities offerings.

Representative Matters 

  • Represented the Raleigh-Durham Airport Authority as bond counsel in connection with more that $1 billion of tax-exempt bond offerings on behalf of the airport and tenants of the airport;
  • Negotiated and prepared financing documents, offering materials and legal opinions in connection with the construction of water utility facilities in Pennsylvania, a 286 MW gas-fired cogeneration facility in New York City, and a 47 MW waste-fueled merchant electric generating facility in Massachusetts, as bond counsel, company counsel and underwriters counsel, respectively;
  • Represented the project sponsor in connection with the development and financing of a 315 MW undersea electric transmission cable in the United States;
  • Represented investment banking firms in the structuring of collateralized debt obligation transactions involving the insurance industry;
  • Represented the borrower in connection with the construction financing of a pharmaceutical manufacturing facility in Ghana, West Africa;
  • Represents numerous underwriters in connection with tax-exempt bond financings for corporate borrowers, and state and local governments;
  • Represents corporate trustees in connection with taxable and tax-exempt debt offerings, municipal derivative transactions and tender option bond programs sponsored by broker-dealers; and
  • Represents corporate trustees in connection with bond default and restructuring transactions.

  • Member, Board of Directors of The Transport Group, Inc., a theater group headquartered in Manhattan, 2004-2007
