Chang-Do Gong is a partner in Dewey & LeBoeuf's Mergers & Acquisitions Group. He has represented acquirors, targets, boards of directors, special committees and investment banks in several complex domestic and cross-border, negotiated and unsolicited, and public and private transactions.

Mr. Gong has participated in a number of significant transactions, including the representation of:

  • MedImmune, Inc. in its US$15.2 billion acquisition by AstraZeneca PLC.
  • Sony Corporation of America in its US$4.9 billion acquisition of Metro-Goldwyn-Mayer Inc. with a consortium of acquirors.
  • The Walt Disney Company in its US$4 billion acquisition of Marvel Entertainment, Inc.
  • Merrill Lynch, Pierce, Fenner & Smith Incorporated, financial advisor to Ventana Medical Systems Inc., in connection with Roche Holding AG’s US$3.4 billion acquisition of Ventana.
  • Zimmer Holdings, Inc. in its US$3.4 billion unsolicited acquisition of Centerpulse AG and InCentive Capital AG.
  • Alimentation Couche-Tard in its US$1.9 billion unsolicited cash tender offer for Casey's General Stores, Inc.
  • CNET Networks, Inc. in its US$1.8 billion acquisition by CBS Corporation.
  • Omnicare, Inc. in its US$1.8 billion unsolicited acquisition of NeighborCare Inc. and US$460 million unsolicited acquisition of NCS HealthCare, Inc.
  • King Pharmaceuticals, Inc. in its US$1.6 billion unsolicited acquisition of Alpharma Inc.
  • USI Holdings Corp. in its US$1.4 billion acquisition by GS Capital Partners.
  • Lee Enterprises, Inc. and its financial advisor, Lazard Freres, in connection with Lee’s US$1.45 billion acquisition of Pulitzer Inc.
  • PSEG Global in its US$1.2 billion sale of the SAESA Group of Companies to a consortium formed by Morgan Stanley Infrastructure and the Ontario Teachers' Pension Plan.
