Kelly Librera advises on complex commercial litigation, including class actions. She has represented clients in actions alleging fraud, violations of the Securities Exchange Act of 1934 and Rule 10(b)(5), deceptive sales practices, violations of the Racketeer Influenced and Corrupt Organizations Act, and in actions brought to enjoin proposed business combinations. Her experience also includes practice before FINRA, AAA and international arbitration panels and arguments before state and federal courts.

  • Representation of a Brazilian corporation in securities class action litigation;
  • Representation of a large international bank and its current and former employees in suits throughout the country and before arbitration panels alleging fraud, violations of the Securities Exchange Act of 1934 and Rule 10(b)(5), breach of fiduciary duty, breach of contract, deceptive trade practices and consumer protection violations arising out of investment strategies;
  • Representation of a biotechnology company in an SEC investigation into insider trading allegations;
  • Representation of The Finish Line Inc. in expedited litigation concerning the financing of the merger between Finish Line and Genesco, Inc.;
  • Representation of USI Holdings Corp. and its special committee in purported class action brought to enjoin a proposed business combination;
  • Representation of MONY Group Inc. in class action litigation involving the marketing of so-called "vanishing premium" policies;
  • Representation of Ovalar Makine Ticaret Ve Sanayi, A.S. in landmark Second Circuit case defining the standards for determining arbitrator bias;
  • Representation of an international investment company in a Department of Justice investigation concerning tax-advantaged strategies; and
  • Representation of an indigent petitioner in a federal habeas corpus case that resulted in a reconstruction hearing on Batson v. Kentucky issues.
