Steve Loeshelle assists clients in raising capital, working with issuers and underwriters in the full range of public and private securities offerings, as well as with project entities, lessors, lessees and commercial lenders. In the capital markets area, securities transactions have included public and privately placed offerings of common stock, preferred stock, first mortgage bonds, various debt/equity hybrid instruments, subordinated and convertible debt, collateral trust bonds, tax-exempt variable rate demand bonds, variable rate preferred stock and "transition bonds" issued in utility stranded cost securitizations. Mr. Loeshelle has represented clients in drafting and modernizing bond indentures, secured and unsecured. Mr. Loeshelle acts as designated underwriters' counsel to two large utility holding companies and their subsidiaries. General Electric Company is among the issuers Mr. Loeshelle has represented, including in connection with its underwritten offering of 120 million shares of common stock.

Mr. Loeshelle has also worked for the various participants in large ticket lease and project transactions involving, among other assets, generating stations, turbines, unit trains, shipping containers, aircraft, gasoline/convenience stores and real estate in Tokyo, Mexico and Great Britain. These transactions have also included nuclear fuel leases and an undivided interest in a nuclear generating station. He represented the initial purchasers of "lease pass-through certificates" issued in the Genco financing of Reliant Mid-Atlantic Power Holdings. Mr. Loeshelle was also a senior member of the Dewey Ballantine team that represented PG&E Corporation in its proposed restructuring in connection with the bankruptcy of its subsidiary, Pacific Gas & Electric Company.
