Kirsten Rodger
Associate
Kirsten Rodger is a UK-qualified capital markets associate based in our London office. She has experience in acting for issuers, lead managers and nomads/brokers in a broad range of international capital markets transactions, including IPOs, secondary issues of debt and equity securities and private placements.
Kirsten joined Dewey & LeBoeuf in April 2006, prior to which she was with a leading city law firm.
Representative Matters include advising:
- Kiler Alışveriş Hizmetleri Gıda Sanayi ve Ticaret A.Ş., ("Kiler") on its TL 123 million (US$76 million) initial public offering on the Istanbul Stock Exchange.
- Anadolu Efes Biracilik ve Malt Sanayii A.Ş. in its US$187 million acquisition of approximately 25.98 per cent of the issued share capital, held in the form of GDRs, of Efes Breweries International N.V. (EBI), a Dutch incorporated and London Stock Exchange-listed company, from a group of sellers.
- PGE Polska Grupa Energetyczna S.A., Poland's largest energy group and second-largest in Central Europe, in its initial public offering on the Warsaw Stock Exchange. The IPO’s value reached 6 billion zloty (€1.4 billion/US$2.1 billion), which makes it one of the biggest IPOs in Poland’s history and Europe’s largest in 2009.
- Morgan Stanley and UniCredit as the lead managers to a share and GDR offering (pursuant to Rule 144a and Regulation S) by JSC Acron, a leading Russian and global mineral fertilizer producer. The GDRs are listed on the London Stock Exchange.
- Novorossiysk Commercial Seaport, Russia’s largest commercial sea port operator, in a US$1 billion share and GDR offering (pursuant to Rule 144A and Regulation S) lead managed by Morgan Stanley and Troika Dialog. The GDRs are listed on the London Stock Exchange and the shares are listed on MICEX.
- Renaissance Capital and KBC Peel Hunt as the lead managers and nominated adviser to the US$135 million AIM IPO of Volga Gas plc, a UK holding company for Russian oil and gas licenses.
- Renaissance Capital, ING Bank N.V., and Kempen & Co. as the joint lead managers to a US$144 million Swiss public offering and international private placement under Regulation S by Eastern Property Holdings Limited, an SWX Swiss Exchange listed company with Russian property investments.
- Damas International Limited on its US$270 million initial public offering on the Dubai International Financial Exchange.
- Omega Insurance Holdings Limited on its acquisition of Omega Underwriting Holdings plc by scheme of arrangement and admission to AIM.
- Omega Insurance Holdings Limited, a Bermudian based insurance and reinsurance group on its move from AIM to the Official List.
- Omega Insurance Holdings Limited, a Bermudian based insurance and reinsurance group, on its £130 million placing in 2009 of common shares resulting in a post-placing market capitalisation of approximately £337 million.
- Lancashire Holdings Limited, an insurance and reinsurance group headquartered in Bermuda with operations in London, Hamilton and Dubai, in its admission of 182.5 million shares to the Official List and to trading on the Main Market of the London Stock Exchange, representing a market capitalisation of £860 million.
- Numis Securities Limited as sponsor and underwriter and Lloyds TSB Bank plc as co-underwriter in connection with a firm placing and a placing and open offer to raise £80 million by Chaucer Holdings PLC, an insurance and reinsurance group listed on the Official List.
- Kiln Limited on its acquisition of Kiln Plc by scheme of arrangement and listing on the Official List and group reorganisation and redomicile to Bermuda.
- Cenkos Securities Limited and Numis Securities Limited on Omega Insurance Holdings plc's placing to raise £90 million.
- Solidere International Limited in connection with its US$700 million private placement of shares.
