Mr. Terrell represents issuers and underwriters in a wide range of public and private securities offerings. These securities include various types of non-conventional securities such as collateral trust bonds, tax-exempt variable rate demand bonds, convertible securities, variable rate preferred stock, synthetic preferred stock, debt-equity hybrid securities, often employing various forms of credit enhancement. He has extensive experience drafting and amending bond indentures, secured and unsecured. He has also worked on project finance and lease transactions involving a variety of assets such as generating facilities (including nuclear and alternative energy), fuel handling facilities, unit trains and office buildings. These transactions have involved both public and private debt, taxable and tax-exempt.

Mr. Terrell's practice includes ongoing work under the corporation laws of several states and the Securities Exchange Act of 1934, as well as miscellaneous corporate, contract and real estate matters. He provides continuing advice to corporate management regarding various other aspects of corporate governance.

Mr. Terrell advises energy companies on corporate, financial, regulatory and other aspects of acquisitions, business combinations and corporate restructurings, including disaggregations, divestitures and financial restructurings. He was recognized in Chambers USA - America's Leading Lawyers for Business 2005 - 20011 as a leader in the field of Energy: Transactional in New York and 2007 - 20011 for Energy: Finance in New York, and is recognized in Best Lawyers in America 1999 - 2011 as a leader in the field of Energy Law. Mr. Terrell was also recognized as a "New York Super Lawyer" 2006 - 2011. In 2010 and 2011, Chambers Global awarded him for excellence in Energy: Electricity (Transactional).
