Stanton J. Lovenworth has more than 30 years of experience in corporate representation, including intellectual property transactions, mergers and acquisitions (M&A) and business organization. He is the chair of the firm’s Life Sciences Global Industry Sector Group and member and former global co-chair of the firm's Technology and Intellectual Practice Group.
Mr. Lovenworth has extensive experience in transactional intellectual property matters, including technology licensing (particularly in the pharmaceutical, biotech and media sectors); patent, trademark, copyright and merchandise licensing; formation of pharmaceutical, biotech and other intellectual property-based or -centered joint ventures, collaborations and strategic alliances; research, development, clinical trial, co-development, co-promotion, and supply and manufacturing agreements in the pharmaceutical and biotech sectors; and “spin-outs” and investment and M&A transactions involving intellectual property assets in a variety of technology and media sectors. In addition, Mr. Lovenworth has broad experience in protection and enforcement of trademark rights, with special emphasis on certification marks and protection of geographic indications.
For transactional intellectual property matters, representative clients include Novartis, Eli Lilly, Actavis, MedImmune, Gilead, Aptalis, Progenics, Illumina, Merz, Medicis, Pronova and Onyx (pharmaceutical and biotechnology mergers and acquisitions, collaborations and licensing); SONY, The Walt Disney Company and Providence Equity (entertainment industry acquisitions and divestitures); The Walt Disney Internet Group (acquisition and sale of Internet search and hosting technology); The National Federation of Coffee Growers of Colombia and Republic of Colombia trademark protection and enforcement); Starbucks Coffee Company (trademark licensing, certification mark matters); and Unilever (integrated marketing matters). Mr. Lovenworth has been recognized in The Legal 500 US in the areas of trademarks every year from 2007 through the present, advertising and marketing (2010 and 2011) and Life Sciences (2011), and as a New York Super Lawyer in 2006, 2007, 2008 and 2009.
