Associate
Ilaria Cicero is a senior associate at Dewey & LeBouef Studio Legale. Her practice primarily centers on the areas of mergers and acquisition and antitrust law. Ms. Cicero provides corporate advice to private equity funds and international companies. She also advises clients in all aspect of merger and acquisition transactions, involving domestic and international participants and of competition law, involving merger control, state aid, public procurement and market investigations.
Before joining Dewey Ballantine in March 2005, Ms. Cicero was an associate with Pavia and Ansaldo law firm in Padua and in Milan. Ms. Cicero had also practiced with Moresi Law Firm (Brussels) and Doland & Gould LLP (Los Angeles).
Representative Matters
- Represented Sirap Gema, part of the Italmobiliare Group, which operates in the food-packaging and refrigeration sector, on an agreement to acquire Amprica S.p.A. and its foreign subsidiaries. The transaction was valued at €48 million;
- Represented private equity fund 3i Group Plc. 3i in its acquisition of 40 percent of Giochi Preziosi S.p.A., the fourth largest toy manufacturer in the world, for €115 million. 3i subsequently took a further 11 percent of the share capital;
- Represented Weather Investments II on antitrust issues relating to the acquisition of the Weather Investments S.p.A. and, consequently, of Wind Telecomunicazioni S.p.A. for a total value of €1.9 billion;
- Represented Apax Partners Worldwide LLP on antitrust issues relating to the acquisition of Cofarma S.p.A. and its subsidiary Farmafactoring S.p.A., a factoring company with manages credits from the Public Administration and, particularly, from local health services;
- Represented Aeroporti di Puglia S.p.A. at the European Commission in respect of the authorization to grand financial aid for new air connections from airports in the Puglia region to both national and European destinations. This measure foresees a total allocation of approximately €3 million to be distributed by the Puglia Region, through Aeroporti di Puglia S.p.A., to carriers selected through a competitive bidding process. Through this decision, the European Commission has for the first time made a statement concerning the provision of public funds to support the start-up costs of airlines operating out of regional airports (GU series Cn. 312 of 9 December, 2005);
- Represented AXA Private Equity Italy, belonging to AXA group, on antitrust issues related to the acquisition of Idroma S.p.A., active in the hydraulic and machine tools markets; and
- Represented ABN AMRO in the disposal of the entire GGP Group, one of the larges manufacturers of gardening tools, for a value more than €700 million.
