Dewey & LeBoeuf Advises Ing on $84 Million Secondary Offering

(London - April 17, 2008) - Dewey & LeBoeuf's Warsaw and London teams have completed a secondary offering on the Warsaw Stock Exchange.

The firm advised underwriters ING Bank and ING Securities on Kernel Holding S.A.'s $84 million share offering. Kernel is an integrated bottled oil and agribusiness Group which owns and operates oilseed crushing, oil refining and bottling facilities, as well as an extensive network of grain silos in Ukraine.

Lawyers on the team also acted on the Underwriting Agreement for ING Bank and ING Securities as the underwriters counsel at the time of the Kernel's $220m IPO and the listing on Warsaw Stock Exchange. Kernel was the second-ever Ukrainian company listed on the Warsaw Stock Exchange.

Lead partner, Zbigniew Mrowiec said of the transaction, "This is exactly the kind of capital markets transaction that we hope will be prevalent in 2008. It has involved two offices dealing with a company whose principle assets are in an emerging market - which clearly plays to the strengths of the combined firm."
